Welcome to Neurohelper.ai ("we", "us", "our").

These Terms of Service (“Terms”) govern your access to and use of the Neurohelper.ai website, platform, software, APIs, applications, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, or purchasing a subscription, you agree to be legally bound by these Terms and our related policies, including our Privacy Policy, Acceptable Use Policy, AI Safety Policy, and Refund Policy.

If you do not agree to these Terms, you may not access or use the Services.

1. About Neurohelper
Neurohelper is a subscription-based software-as-a-service (SaaS) platform that provides users with access to AI-powered digital tools designed for productivity, creativity, workflow assistance, automation, and content generation.
The platform may integrate third-party artificial intelligence technologies, APIs, and model providers that maintain their own safety systems, moderation controls, and platform policies.
Neurohelper does not operate as a deepfake, impersonation, identity replication, or deceptive synthetic media service.

2. Eligibility
You must have the legal capacity to enter into these Terms under the laws of your jurisdiction in order to use the Services.

If you are under the age of legal majority in your jurisdiction, you may only use the Services with the consent and supervision of a parent, legal guardian, or authorized representative who agrees to be bound by these Terms on your behalf.

By accessing or using the Services, you represent and warrant that:
  • you have the legal authority and capacity to accept these Terms;
  • your use of the Services is not prohibited under applicable laws or regulations;
  • you will comply with all applicable laws, platform policies, and usage restrictions.
If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. User Accounts
To access certain features, users may be required to create an account.
You agree to:
  • provide accurate, current, and complete registration information;
  • maintain the confidentiality of your account credentials;
  • promptly notify us of any unauthorized access or suspected security breach;
  • remain fully responsible for all activities conducted under your account.
We reserve the right to suspend, restrict, or terminate accounts that provide false information, violate these Terms, or create security or compliance risks.

4. Description of Services
The Services provide access to software tools and AI-assisted systems capable of generating, transforming, analyzing, organizing, or processing digital content.
Outputs generated through the Services may include:
  • text,
  • images,
  • audio,
  • video,
  • design assets,
  • automation workflows,
  • and other AI-assisted digital content.
The Services are provided on an “as available” and “as is” basis.
Due to the probabilistic nature of artificial intelligence systems:
  • outputs may be inaccurate, incomplete, biased, unexpected, or unsuitable for particular purposes;
  • generated content may resemble publicly available or third-party content;
  • results may vary between users and sessions.
Neurohelper does not guarantee:
  • factual accuracy,
  • originality,
  • uninterrupted availability,
  • commercial suitability,
  • or fitness for any specific purpose.
Users are solely responsible for reviewing, validating, editing, and evaluating any generated outputs before relying on or distributing them.

5. AI Safety and Responsible Use
Neurohelper is intended for lawful creative, productivity, educational, and business use cases.
Users may not use the Services to create, upload, generate, distribute, or promote content that:
  • impersonates real individuals, celebrities, politicians, public figures, or organizations without authorization;
  • creates deceptive or misleading synthetic media intended to misrepresent identity or reality;
  • generates non-consensual intimate content or exploitative material;
  • facilitates fraud, phishing, scams, harassment, identity theft, or illegal activity;
  • violates intellectual property, publicity, privacy, or personality rights;
  • promotes violence, hate speech, terrorism, or unlawful conduct;
  • attempts to bypass moderation systems, safety controls, or provider restrictions.
Neurohelper may implement automated moderation systems, safety filters, monitoring tools, and policy enforcement mechanisms designed to reduce misuse and prohibited activities.

We reserve the right to:
  • review content and activity;
  • restrict or suspend access;
  • remove content;
  • report unlawful activity;
  • or terminate accounts that violate these Terms or create legal, financial, reputational, or compliance risks.
Users remain solely responsible for ensuring that their use of the Services complies with applicable laws and third-party rights.

6. User Content and Generated Outputs
Users may submit prompts, instructions, files, text, images, audio, video, or other materials to the Services (“User Inputs”).

Subject to these Terms and applicable laws, users generally retain ownership of their User Inputs.
The Services may generate outputs based on User Inputs (“Generated Outputs”).

Because artificial intelligence systems operate probabilistically:
  • Generated Outputs may not be unique;
  • similar or identical outputs may be generated for other users;
  • outputs may unintentionally resemble existing works, publicly available materials, or third-party content.
Neurohelper does not guarantee exclusivity, originality, or intellectual property protection for Generated Outputs.

Users are solely responsible for:
  • evaluating Generated Outputs before use or distribution;
  • ensuring that their use of outputs complies with applicable laws and third-party rights;
  • obtaining any necessary permissions, licenses, or consents.
Users may not use the Services to infringe intellectual property, privacy, publicity, or other legal rights.

7. Intellectual Property Rights
The Services, including all software, interfaces, branding, designs, infrastructure, databases, documentation, and platform technology, are owned by Neurohelper or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, users may not:
  • reproduce,
  • distribute,
  • sublicense,
  • reverse engineer,
  • modify,
  • scrape,
  • copy,
  • resell,
  • or create derivative works from the Services.
No ownership rights in the Services are transferred to users.
Third-party AI models, APIs, and integrated technologies remain the property of their respective providers and may be subject to separate licenses or restrictions.

8. Subscription Plans and Billing
Access to certain Services may require a paid subscription.
Subscription plans, usage limits, pricing, and features are described on the platform and may change from time to time.
By purchasing a subscription, you authorize Neurohelper and its payment providers to:
  • charge applicable subscription fees,
  • process recurring payments,
  • and collect applicable taxes or fees.
Subscriptions may renew automatically unless canceled before the next billing cycle.
Users are responsible for:
  • maintaining valid payment information;
  • ensuring sufficient payment authorization;
  • reviewing applicable pricing and billing terms before purchase.
Failure to process payment may result in suspension or restriction of access to the Services.

9. Refund Policy
Unless otherwise required by applicable law, subscription fees and usage-based payments are generally non-refundable.

However, Neurohelper may, at its sole discretion, provide refunds in limited situations, including:
  • duplicate charges;
  • accidental renewals reported within a reasonable period;
  • technical failures that materially prevented access to the purchased Services;
  • billing errors.

We reserve the right to deny refund requests involving:
  • excessive usage prior to the request;
  • policy violations;
  • abusive refund behavior;
  • fraudulent activity;
  • or chargeback abuse.
Chargebacks, payment disputes, or fraudulent claims may result in:
  • account suspension,
  • service termination,
  • and restriction from future purchases

10. Third-Party Services and AI Providers
The Services may integrate third-party software, APIs, payment processors, hosting providers, cloud infrastructure services, and artificial intelligence technologies.

Neurohelper works with established and reputable third-party AI model providers that maintain their own:
  • safety systems,
  • moderation controls,
  • usage restrictions,
  • abuse prevention mechanisms,
  • and compliance policies.

We seek to partner only with providers that implement responsible AI practices and maintain standards intended to comply with applicable laws, platform requirements, payment network rules, and industry safety expectations.

Neurohelper is committed to operating the Services in a manner consistent with:
  • applicable legal requirements,
  • responsible AI usage principles,
  • payment provider compliance standards,
  • and platform safety obligations.

The Services are not intended to facilitate:
  • identity deception,
  • unauthorized impersonation,
  • misleading synthetic media,
  • non-consensual content,
  • or other prohibited or harmful uses.

Users acknowledge and agree that:
  • third-party providers may impose their own rules, restrictions, moderation systems, or technical limitations;
  • certain tools or features may become unavailable, modified, restricted, or discontinued without notice;
  • generated outputs may be filtered, limited, blocked, or moderated by underlying providers or safety systems.

Neurohelper reserves the right to restrict, moderate, suspend, or remove access to features or content where necessary to:
  • comply with applicable laws,
  • satisfy payment provider or platform requirements,
  • reduce abuse or misuse risks,
  • protect third-party rights,
  • or maintain platform integrity and safety.
Neurohelper is not responsible for outages, restrictions, moderation decisions, or policy enforcement actions implemented by third-party providers or integrated technologies.

11. Prohibited Commercial Activities
Users may not:
  • resell or redistribute the Services without authorization;
  • provide unauthorized API access;
  • operate automated account farms or abusive scaling systems;
  • use the Services for spam, mass deception, or manipulative synthetic media campaigns;
  • exploit the Services in ways that create excessive infrastructure, financial, legal, or reputational risk.
Neurohelper reserves the right to limit, suspend, or terminate accounts engaged in abusive, fraudulent, or commercially unreasonable usage patterns.

12. Suspension and Termination
Neurohelper reserves the right, at any time and at its sole discretion, to:
  • suspend,
  • restrict,
  • limit,
  • or terminate access to the Services
with or without prior notice if:
  • users violate these Terms or related policies;
  • payment obligations are not fulfilled;
  • fraudulent, abusive, unlawful, or high-risk activity is detected;
  • account activity creates operational, legal, reputational, compliance, or financial risk;
  • continued provision of the Services becomes commercially or technically impractical.
We may also suspend or restrict access to comply with:
  • applicable laws,
  • sanctions regulations,
  • payment provider requirements,
  • law enforcement requests,
  • or platform security obligations.
Upon termination:
  • licenses granted under these Terms immediately terminate;
  • users must cease using the Services;
  • certain data or content may be deleted in accordance with our retention policies.
Sections intended by their nature to survive termination shall remain in effect, including:
  • payment obligations,
  • indemnification,
  • intellectual property provisions,
  • limitations of liability,
  • dispute provisions,
  • and compliance-related obligations.

13. Disclaimer of Warranties
The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

To the fullest extent permitted by applicable law, Neurohelper disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
  • merchantability,
  • fitness for a particular purpose,
  • non-infringement,
  • accuracy,
  • reliability,
  • availability,
  • or uninterrupted operation.
Neurohelper does not warrant that:
  • the Services will be error-free or uninterrupted;
  • outputs will be accurate, lawful, original, or suitable for any intended purpose;
  • the Services will meet users’ expectations or business requirements;
  • generated content will not resemble existing works or materials.
Users assume all risks associated with use of the Services and Generated Outputs.

14. Limitation of Liability
To the fullest extent permitted by applicable law, Neurohelper and its affiliates, directors, officers, employees, contractors, licensors, and service providers shall not be liable for:
  • indirect,
  • incidental,
  • consequential,
  • special,
  • exemplary,
  • punitive,
  • or speculative damages,
including damages relating to:
  • lost profits,
  • lost revenue,
  • lost business opportunities,
  • data loss,
  • reputational harm,
  • service interruptions,
  • or reliance on Generated Outputs.
Neurohelper’s total aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by the user to Neurohelper during the three (3) months preceding the event giving rise to the claim.
Some jurisdictions may not allow certain limitations of liability, so portions of this section may not apply to certain users.

15. Indemnification
Users agree to indemnify, defend, and hold harmless Neurohelper and its affiliates, officers, employees, contractors, licensors, and partners from and against any claims, liabilities, damages, losses, expenses, or legal fees arising out of or relating to:
  • use of the Services;
  • Generated Outputs;
  • User Inputs;
  • violation of these Terms or applicable laws;
  • infringement of third-party rights;
  • misuse of artificial intelligence tools or synthetic media.
This obligation survives termination of the Services and user accounts.

16. Compliance and Export Restrictions
Users may not use the Services in violation of:
  • export control laws,
  • sanctions regulations,
  • anti-money laundering laws,
  • anti-fraud laws,
  • or other applicable international regulations.
Users represent that they are not:
  • located in sanctioned jurisdictions prohibited under applicable laws;
  • listed on restricted or prohibited party lists;
  • using the Services for unlawful or prohibited activities.
Neurohelper reserves the right to restrict or deny access where required for legal or compliance reasons.

17. Modifications to the Services
We reserve the right to:
  • modify,
  • update,
  • discontinue,
  • limit,
  • or remove features or functionality
at any time and without liability.

Certain tools, integrations, or AI capabilities may be changed, restricted, or removed due to:
  • provider policy changes,
  • legal requirements,
  • infrastructure limitations,
  • or safety considerations.

18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Antalya, Türkiye.
Before initiating formal legal proceedings, users agree to first contact Neurohelper in good faith to attempt informal resolution of the dispute.

19. Changes to These Terms
We may update or modify these Terms from time to time.

When material changes are made, we may:
  • update the “Last Updated” date;
  • provide notice through the Services;
  • or notify users by email where appropriate.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
